1. Acceptance of Terms

Welcome to Speeky. By downloading, installing, accessing, or using the Speeky mobile application ("App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the App.

These Terms constitute a legally binding agreement between you and Speeky regarding your use of the App. Please read them carefully.

2. Description of Service

Speeky is a mobile application designed to help users improve their English language skills by providing real-time feedback on speech during actual conversations. The App enables users to:

• Record portions of their speech during real conversations by pressing and holding a record button
• Receive feedback and analysis on their English grammar, pronunciation, and word choice
• Track progress and identify areas for improvement

The App processes audio recordings through automated analysis technology, including OpenAI's voice models, to provide users with personalized feedback.

3. User Accounts

To use certain features of the App, you may need to create a user account. You agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. User Content and Recordings

Audio Recordings: When you use our App, you may record portions of your speech by pressing and holding the record button during conversations. You understand and agree that:

• You are responsible for obtaining any necessary consents from other parties before recording conversations
• You will comply with all applicable laws regarding the recording of conversations and privacy
• Audio recordings are temporarily processed on our servers but are stored only on your device
• Analysis results derived from your recordings are stored in our database to provide the service

Ownership and License: You retain all rights to the content you record. By using the App, you grant us a limited, non-exclusive license to process your audio solely for the purpose of providing feedback and improving our services.

Prohibited Content: You agree not to record or submit content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
• Infringes on intellectual property rights of others
• Contains software viruses or harmful code
• Interferes with the proper functioning of the App or servers

5. Subscription and Payment

Speeky offers both free and premium subscription options. By subscribing to a premium plan:

• You agree to pay all applicable fees as described at the time of purchase
• Subscriptions automatically renew unless canceled before the renewal date
• You can manage or cancel your subscription through your device's app store account settings
• Refunds are handled in accordance with the applicable app store's policies

We reserve the right to change our pricing with reasonable notice. Changes to pricing will not affect existing subscription periods that have already been paid.

6. Intellectual Property Rights

The App, including its content, features, and functionality, is owned by Speeky and is protected by copyright, trademark, and other intellectual property laws. Our Terms do not grant you any right to:

• Use Speeky's trademarks, logos, or branding
• Copy, modify, distribute, or create derivative works of the App
• Decompile, reverse engineer, or disassemble the App
• Remove any copyright or proprietary notices

You are granted a limited, non-exclusive, non-transferable license to use the App for its intended purpose in accordance with these Terms.

7. Privacy

Our Privacy Policy explains how we collect, use, and protect your personal information. By using the App, you consent to the data practices described in our Privacy Policy, which is incorporated by reference into these Terms.

8. Third-Party Services

The App integrates with various third-party services, including:

• OpenAI for voice analysis
• Google Firebase/Firestore for data storage
• App store payment processing

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or policies of these third parties.

9. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to:

• The accuracy or completeness of feedback provided
• That the App will meet your specific requirements
• That the App will be available at all times, uninterrupted, secure, or error-free
• That defects will be corrected

While our App is designed to help improve English language skills, we do not guarantee specific results or outcomes from using the App.

10. Limitation of Liability

To the maximum extent permitted by law, Speeky and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the App.

In no event shall our total liability for all claims related to the App exceed the amount you paid to us, if any, during the six months preceding the event giving rise to the liability.

11. Indemnification

You agree to indemnify, defend, and hold harmless Speeky and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the App, including the recording of conversations
• Your violation of another party's rights or applicable laws

12. Termination

We reserve the right to suspend or terminate your access to the App at any time for any reason without notice, including violation of these Terms.

You may terminate your use of the App by deleting it from your device and canceling any subscriptions.

Upon termination, provisions of these Terms that by their nature should survive termination will remain in effect, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Modifications to Terms

We may modify these Terms at any time by posting the revised terms on our website or within the App. Your continued use of the App after such changes constitutes your acceptance of the revised Terms.

It is your responsibility to review these Terms periodically. If you do not agree to the modified terms, you should discontinue your use of the App.

14. Governing Law
